Pro rata refers to a method of distibuting returns to investors. The investors get their “fair share” in proportion to the entire realised returns. They therefore get what is due to them based on how much ‘skin they have in the game’. The formula for pro rata is: (target ownership as a percentage) x (number of new shares being issued) x (share price at new round)
